Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClientsBill platform ("Service") operated by ClientsBill ("we", "us", or "our"), registered in Cameroon. By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By accepting these Terms you represent that you meet these requirements.

2. Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@clientsbill.com if you suspect unauthorised access.

3. Acceptable Use

You agree not to:

• Use the Service to send fraudulent invoices or misrepresent your identity or business.
• Violate any applicable law or regulation.
• Attempt to gain unauthorised access to other accounts or systems.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Transmit malware, spam, or other harmful content.
• Resell or sublicense access to the Service without our written consent.

4. Subscription & Payment

Some features require a paid subscription. Fees are stated on the pricing page and are billed in advance on a monthly or annual cycle. All fees are non-refundable except where required by law or as stated in our refund policy. We reserve the right to change pricing with 30 days' notice.

Plan fees are paid by mobile money (MTN Mobile Money or Orange Money) through our payment provider MeSomb. By paying you also agree to their terms of service.

Invoices you send to your own clients are paid to you directly (cash, bank transfer, mobile money or any other way you agree with them). We do not collect, process or hold those payments; the Service only records them.

5. Free Trial

We may offer a free trial period. At the end of the trial, your account will be downgraded to the free plan or suspended unless you subscribe. We reserve the right to modify or discontinue free trials at any time.

6. Your Data

You own all business data (clients, invoices, etc.) you create in the Service. You grant us a limited licence to store, process, and display that data solely to provide the Service. See our Privacy Policy for details on how we handle personal data.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by ClientsBill and protected by copyright and other laws. These Terms do not grant you any right to use our trademarks or logos without prior written consent.

8. Service Availability

We aim for 99.9% monthly uptime but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability; we will give reasonable advance notice for planned downtime. We are not liable for losses caused by downtime.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, that defects will be corrected, or that it is free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law in Cameroon, our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless ClientsBill and its officers, employees, and agents from any claim, damage, or expense (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases. Data export is available for 30 days after termination; thereafter your data may be permanently deleted (subject to legal retention requirements).

13. Governing Law & Disputes

These Terms are governed by the laws of Cameroon. Any dispute shall first be attempted to be resolved by good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the courts of Cameroon.

14. Changes to These Terms

We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
